By engaging SideMind (ABN 14 649 487 237) for services, you ("the Client") agree to these Terms of Service. These terms form a binding agreement between you and SideMind.
SideMind provides lead capture and response services for service businesses, including but not limited to:
Some features use automated and AI-assisted systems to send messages and answer enquiries. The specific services delivered are as agreed at the time of onboarding and outlined in your invoice.
SideMind charges a recurring monthly fee with no setup fee. Current pricing is available at sidemind.com.au.
To enable SideMind to deliver the service, the Client agrees to:
SideMind will use reasonable endeavours to maintain service availability. We target 99% uptime, subject to third-party platform availability (including GoHighLevel, Sinch MessageMedia, Make.com, Google, Calendly, Netlify, Stripe and Anthropic).
In the event of a technical outage affecting your service, SideMind will notify you as soon as reasonably practicable and work to restore service promptly. Extended outages caused by factors within our control may entitle you to a pro-rata service credit at our discretion.
SideMind retains ownership of all systems, builds, templates, workflows, scripts, the website we build, and all system configurations we create. These are part of the ongoing service and remain SideMind property. Client-specific content (branding, call scripts, business information) remains the property of the Client.
The Client owns only their own domain name and their own data, meaning their leads and contacts. On cancellation, the website and all systems are switched off and remain with SideMind. We will provide the Client with a copy of their lead data, conversation logs, and any client-specific records in a standard format upon request.
Both parties agree to keep confidential any non-public information shared in connection with this agreement. This obligation survives termination of the service.
To the maximum extent permitted by Australian law, SideMind's liability for any claim arising from or related to these terms or the service is limited to the fees paid by the Client in the three months preceding the claim.
SideMind is not liable for indirect, incidental, or consequential losses, including lost revenue, lost leads, or lost business opportunities, even if we have been advised of the possibility of such losses.
We do not guarantee specific outcomes including lead volume, booking rates, or revenue generated. Results depend on factors outside our control including your lead quality, market conditions, and sales team performance.
Service is month to month with no lock-in contract. Either party may cancel with 30 days written notice to kevin@sidemind.com.au.
You start with a 14-day free trial, as set out in our Free Trial Terms. A card is required to start and you are not charged during the trial, but your plan begins automatically at your plan price at the end of the trial unless you cancel first. Once billing begins, months already served are non-refundable and the Client remains liable for fees during the 30 day notice period.
On cancellation or non-payment, the service and your website are switched off. SideMind retains all systems, builds and intellectual property. The Client keeps only their own domain and their own data.
SideMind may terminate the service immediately if the Client breaches these terms, fails to pay, or uses the service in violation of the Acceptable Use Policy.
These terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
We may update these terms from time to time. We will provide 14 days notice of material changes via email. Continued use of the service after changes take effect constitutes acceptance.
