Terms of Service

Summary: These terms govern your use of SideMind services. Pay on time, use the service properly, and we will deliver as described. Either party can cancel with notice.

1. Agreement

By engaging SideMind (ABN 14 649 487 237) for services, you ("the Client") agree to these Terms of Service. These terms form a binding agreement between you and SideMind.

SideMind provides AI voice agent and lead qualification automation services, including but not limited to:

The specific services delivered are as agreed at the time of onboarding and outlined in your invoice.

3. Fees and Payment

SideMind charges a one-time setup fee and a recurring monthly retainer. Current pricing is available at sidemind.com.au.

SideMind will use reasonable endeavours to maintain service availability. We target 99% uptime for voice agent services, subject to third-party platform availability (Retell AI, Twilio).

In the event of a technical outage affecting your service, SideMind will notify you as soon as reasonably practicable and work to restore service promptly. Extended outages caused by factors within our control may entitle you to a pro-rata service credit at our discretion.

6. Intellectual Property

SideMind retains ownership of all automation templates, workflows, scripts, and system configurations we create. Client-specific content (branding, call scripts, business information) remains the property of the Client.

Upon cancellation, we will provide the Client with a copy of their call data and lead logs in a standard format upon request.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with this agreement. This obligation survives termination of the service.

8. Limitation of Liability

To the maximum extent permitted by Australian law, SideMind's liability for any claim arising from or related to these terms or the service is limited to the fees paid by the Client in the three months preceding the claim.

SideMind is not liable for indirect, incidental, or consequential losses, including lost revenue, lost leads, or lost business opportunities, even if we have been advised of the possibility of such losses.

We do not guarantee specific outcomes including lead volume, booking rates, or revenue generated. Results depend on factors outside our control including your lead quality, market conditions, and sales team performance.

9. Cancellation

Either party may cancel the service with 30 days written notice to kevin@sidemind.com.au.

The Client remains liable for monthly fees during the notice period. Setup fees are non-refundable except as set out in our Refund Policy.

SideMind may terminate the service immediately if the Client breaches these terms, fails to pay, or uses the service in violation of the Acceptable Use Policy.

10. Governing Law

These terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.

11. Changes to These Terms

We may update these terms from time to time. We will provide 14 days notice of material changes via email. Continued use of the service after changes take effect constitutes acceptance.
