Summary: These terms govern your use of SideMind services. There is no setup fee. You start with a 14-day free trial with no card required, and it only continues month to month at the plan price you chose, from $147 to $397 a month inc GST, if you choose to keep going at the end of the trial. The one exception is the $247 a month Website subscription, which has a 12-month minimum term, explained in section 8A. Pay on time, use the service properly, and we will deliver as described. Either party can cancel with notice.
1. Agreement
By engaging SideMind (ABN 14 649 487 237) for services, you ("the Client") agree to these Terms of Service. These terms form a binding agreement between you and SideMind.
2. Services
SideMind provides lead capture and response services for service businesses, including but not limited to:
A phone answering service that answers calls the Client cannot take and books appointments, an SMS answering service that replies to the Client's text enquiries and books appointments, lead details delivered into the Client's own system, automated Google review requests and replies beginning with a reactivation of the Client's past customers, sharing of selected reviews to the Client's social media accounts, and, on plans that include one, a professional website built, hosted and maintained by SideMind with small changes included
Websites on their own, either as a monthly Website subscription or bought outright, as set out in section 8A
Ongoing management and support
Some features use automated and AI-assisted systems to send messages and answer enquiries. The specific services delivered are as agreed at the time of onboarding and outlined in your invoice.
3. Fees and Payment
SideMind plans are from $147 to $397 a month inc GST depending on the plan you choose, with no setup fee. Current pricing is available at sidemind.com.au.

You start with a 14-day free trial on the monthly services. No card is required to start, and your subscription begins at the plan price you chose, $147, $247, $297 or $397 a month inc GST, only if you choose to continue at the end of the trial, as set out in our Free Trial Terms
Usage charges for text messages and call minutes are passed through to you at cost with no mark-up. These are separate from your plan price and are typically around $20 a month
The 14-day free trial applies to the monthly services only. It does not apply to the Website subscription or to any website build. Where a website is included in your plan, taken as a Website subscription, or bought outright, the build work begins only once your first payment has cleared
Monthly payments are due on the same date each month via the payment method on file
Monthly plans are month to month with no lock-in contract, cancel anytime effective at the end of your current billing cycle. The Website subscription is the exception: it has a 12-month minimum term, as set out in section 8A
Invoices not paid within 7 days may result in service suspension. A website may be paused once a payment is 14 days overdue, as set out in section 8A
Prices may be updated with 30 days written notice to existing clients
4. Client Responsibilities
To enable SideMind to deliver the service, the Client agrees to:
Provide accurate and complete information during onboarding
Respond to setup and configuration requests within 5 business days
Maintain active subscriptions to any third-party services the Client has agreed to provide, such as their own scheduling or booking tool, where applicable
Notify SideMind promptly of any changes to their business that affect the service (new service areas, changed contact details, seasonal campaigns)
Use the service only in accordance with our Acceptable Use Policy
5. Service Levels
SideMind will use reasonable endeavours to maintain service availability. We target 99% uptime, subject to the availability of the third-party hosting, messaging, telephony, scheduling and payment providers we rely on.
In the event of a technical outage affecting your service, SideMind will notify you as soon as reasonably practicable and work to restore service promptly. Extended outages caused by factors within our control may entitle you to a pro-rata service credit at our discretion.
6. Intellectual Property and What You Keep
SideMind retains ownership of all systems, builds, templates, workflows, scripts, the website we build, and all system configurations we create. These are part of the ongoing service and remain SideMind property. The one exception is a website bought outright, which belongs to the Client once it is paid in full, as set out in section 8A. Client-specific content (branding, call scripts, business information) remains the property of the Client.
The Client owns their own domain name, their own files and their own data, meaning their leads and contacts. On cancellation, the systems are switched off and remain with SideMind, and where the plan included a website the terms in section 8A apply. We will provide the Client with a copy of their lead data, conversation logs, and any client-specific records in a standard format upon request.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared in connection with this agreement. This obligation survives termination of the service.
8. Limitation of Liability
To the maximum extent permitted by Australian law, SideMind's liability for any claim arising from or related to these terms or the service is limited to the fees paid by the Client in the three months preceding the claim.
SideMind is not liable for indirect, incidental, or consequential losses, including lost revenue, lost leads, or lost business opportunities, even if we have been advised of the possibility of such losses.
We do not guarantee specific outcomes including lead volume, booking rates, or revenue generated. Results depend on factors outside our control including your lead quality, market conditions, and sales team performance.
8A. Website Subscription Terms
There are three ways SideMind provides a website: a monthly Website subscription, a website bought outright, or a website included in a monthly plan. The terms for each are below. In every case your domain name, your business content, your logo and your photos always belong to you, and no website is built during a free trial.
Website subscription, $247 a month inc GST
What is included. A website custom built for your business, plus hosting, maintenance and small updates.
Minimum term. The Website subscription has a 12-month minimum term, starting from the date of your first payment. It is billed monthly in advance, and the build begins once that first payment has cleared.
Cancelling during the minimum term. You can cancel at any time, but if you cancel before the 12 months are up, the remaining months of the 12-month term are still payable. For example, if you cancel after 5 months, the remaining 7 monthly payments are still due. Your website stays live until the end of the 12 months while you pay out the remaining months. At the end of the 12 months, you can buy the website outright or we take it down, as set out below.
After 12 months. Once the minimum term ends, the subscription rolls on month to month. You can cancel at any time after that with 30 days' notice.
Small updates. Small text, image and price updates are included, up to about 1 hour of work a month. New pages, new features and redesigns are quoted separately before any work starts.
Who owns what. While you are subscribed, SideMind owns the website, and you have a licence to use it for your business. You always own your domain name, your business content, your logo and your photos.
Leaving after the minimum term. When you give notice after the 12 months, you can choose to buy the website outright for a one-off $997 inc GST and we will hand it over to you. Otherwise, we take the website down at the end of your notice period. Either way, your domain name, content, logo and photos stay yours.
Unpaid accounts. If a payment is more than 14 days overdue, we may pause your website until the account is paid.
Website bought outright, $2,997 inc GST
The build begins once the agreed payment has cleared.
You own the website once it has been paid in full.
Hosting and maintenance are $29 a month inc GST, including one content update a month. You can cancel hosting at any time with 30 days' notice.
Website included in a monthly plan ($297 Reviews plus Website, or $397 Everything)
The build begins once your first payment has cleared.
If you cancel the plan that included your website within 12 months of the site going live, the website continues to be hosted and maintained at $97 a month inc GST for the rest of that 12-month period, and then at $29 a month inc GST after 12 months. If you would rather not continue hosting with SideMind, the site is switched off and you keep your domain and your files.
Text message costs. Text messages sent for review campaigns, and other usage such as call minutes, are passed on at cost with no mark-up, separate from your plan or subscription price.
9. Cancellation
Monthly plans are month to month with no lock-in contract. The Website subscription is the exception, with a 12-month minimum term as set out in section 8A. You can cancel at any time through the subscription portal or by writing to us at kevin@sidemind.com.au. Cancellation takes effect at the end of the current billing period, and there are no further charges after that, except for the Website subscription minimum term set out in section 8A. There are no refunds on the current billing period.

Once billing begins, months already paid are not refunded.
On cancellation or non-payment, the service is switched off. SideMind retains all systems, builds and intellectual property. The Client keeps their own domain and their own files and data. Where the plan included a website, the website terms in section 8A apply.
SideMind may terminate the service immediately if the Client breaches these terms, fails to pay, or uses the service in violation of the Acceptable Use Policy.
10. Governing Law
These terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
11. Changes to These Terms
We may update these terms from time to time. We will provide 14 days notice of material changes via email. Continued use of the service after changes take effect constitutes acceptance.

13. SMS Messaging
Who we are and what we send: SideMind sends messages about appointments, enquiries and service updates to people who have opted in to receive them.
Opting out and getting help: You can cancel at any time by replying STOP to any message. You will receive one final confirmation message and then no further messages. Reply HELP for assistance, or contact us at kevin@sidemind.com.au or 0437 915 015.
Carrier liability: Carriers are not liable for delayed or undelivered messages.
